OFFICIAL RULES
NO PURCHASE NECESSARY. YOU MUST HAVE INTERNET ACCESS AND AN ACCOUNT ON THE DESIGNATED SOCIAL MEDIA PLATFORM TO PARTICIPATE.
1. CONTEST DESCRIPTION: The Nutri-Grain™ Lounge Contest (the “Contest”) is a social media entry contest that begins on 8/12/25 at 9:00:00 AM Eastern Time (“ET”) and ends on 8/22/25 at 9:00:00 PM (ET) (the “Contest Period”).
At the start of the Contest Period, Sponsor will post an invitation to nominate (the “Post”) on its Instagram account (@nutrigrain). Eligible participants may nominate a high school by commenting on the Post with the high school’s name, city and state; and include the Hashtag (as defined below) (collectively, the “Vote”), as more fully set forth below. There will be one (1) Grand Prize awarded directly to the winning high school in the Contest. ALL PARTICIPANTS WHO SUBMIT A VOTE WILL NOT RECEIVE ANY PRIZE RELATED TO SUBMITTING A WINNING HIGH SCHOOL.
Eligible Votes will be tallied for each nominated high school by representatives of Sponsor to determine the Grand Prize winner, as described below. Participation in the Contest does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Contest and posting a Vote, each participant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Kellanova (“Sponsor”), which shall be final and binding in all respects.
2. ELIGIBILITY: Voting participation is open only to legal residents of the forty-eight (48) contiguous United States and District of Columbia (excludes Alaska and Hawaii) who are sixteen (16) years of age or older at the time of entry. Eligible participants who are less than the age of majority in their state of primary residence (a “Minor”) must get their parent or legal guardian’s permission to participate in the Contest. Employees of Kellanova, its parent company, subsidiaries, affiliates, advertising and promotion agencies (“Contest Entities”), and their immediate family members and/or those living in the same household of each are not eligible to participate. Contest is void in Alaska, Hawaii, and where otherwise prohibited by law.
3. HOW TO SUBMIT A VOTE INTO THE CONTEST: Eligible participants of the general public will have the opportunity to nominate a high school which will serve as their Vote in the Contest. To submit a Vote into the Contest, go online to https://www.instagram.com, and log into your Instagram account. Then, complete your Vote by commenting on the Post with the high school’s name, city and state, and include #NutriGrainLoungeContestEntry (the “Hashtag”); and follow @nutrigrain on Instagram. Vote must be posted to the participant’s non-private Instagram account; MUST include the nominated high school’s information (as noted above); and MUST include the Hashtag and the participant must follow @nutrigrain on Instagram to be eligible as a Vote in the Contest. Note: A “Like” of a comment on Instagram does not count as a Vote in the Contest. Participants must complete the aforementioned Voting process in order to vote for a high school in the Contest. You must be a registered Instagram member to submit a Vote via Instagram. Instagram account registration and Contest participation is free. Participants / voters will be disqualified if automatic voting software or vote swapping websites are used in their favor or if Sponsor determines, in its sole discretion that said participant and/or voter has tampered with the voting process or participated in, induced, or caused in any way any false, fraudulent, or improper voting. Limit one (1) Vote per person in the Contest. Votes generated by a macro, script, bot or other automated means are strictly prohibited during any stage of the Contest and votes in excess of the stated limitations may be disqualified at the sole discretion of the Sponsor.
Direct any questions, comments, or complaints regarding the Contest to Sponsor, not Instagram.
By submitting a Vote, you affirm that you have read, understand and agree to these Official Rules. Participants understand that they are submitting a Vote at their sole risk. Sponsor is not responsible for any claims arising from a comment on Instagram, specifically including, but not limited to, claims for intellectual property infringement and privacy rights violations, as well as violations of the social media platform’s terms and conditions.
Each Vote must meet the following “Voting Requirements” (any Vote that, in Sponsor’s sole and absolute discretion, violates the following criteria will be disqualified):
- Vote must be responsive to the call-to-action and include the Hashtag;
- Vote must be posted to a non-private social media account;
- Vote must not feature any person(s);
- Participant must be the rightful owner of the Vote;
- Vote must NOT contain any material that infringes or violates any right of a third-party including copyright, patent, trademark, trade secret or other proprietary rights. For example, Vote should NOT contain reference to sports team logos, celebrities, names or logos of businesses, music or lyrics, or clips from television shows or movies;
- Vote must NOT include third parties/people and/or their name, image, likeness or voice;
- Vote must NOT contain subject matter which is, or could be considered, in the sole discretion of the Contest Entities, obscene, pornographic, violent (e.g., relating to murder, the sales of weapons, cruelty, abuse, etc.), defamatory, libelous, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g., illegal gambling, underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, hateful, degrading, harassing, or otherwise unlawful, tortious or objectionable;
- Vote must NOT contain any content that promotes any particular political agenda or message;
- Vote must NOT contain any personal identification, such as personal names or email addresses;
- Vote must NOT communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate;
- Vote must NOT violate any law;
- Vote must NOT contain any content that is protected by copyright (without the express prior written consent of the owner of such right), including any music or include any recognizable locations or include names and/or descriptions of any copyrighted media production, including, without limitation, films, books, television programming, etc., or identifying descriptions of any media property;
- Vote must NOT include any brand name manufacturer’s products other than Nutri-Grain® (generic product usage is acceptable);
- Vote must NOT contain any derogatory references to any of the Contest Entities; and
- Vote submitted via social media must comply with the respective social media platform’s terms and conditions as posted on the social media platform.
All Votes must be original, unpublished and may not have previously won any award or prize. Sponsor reserves the right, in its sole discretion, to disqualify any Vote that is ineligible, incomplete, non-compliant or otherwise objectionable. Each participant hereby agrees to indemnify and hold the Contest Entities, their successors and assigns harmless from and against any and all third-party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations, covenants or obligations of participant hereunder.
Without in any way limiting the effect of the rest of these Official Rules, any participant who incorporates any intellectual property owned by a third party into his or her Vote without permission does so at his or her own risk. Participants agree that the Contest Entities shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity.
Note: Sponsor reserves the right, in its sole discretion, to disqualify any Vote in the Contest if Sponsor views the Vote as potentially infringing or otherwise a violation or potential violation of a third party’s rights or if it deems the Vote to be lacking in taste, quality, or to be otherwise objectionable.
In the event of a dispute regarding the identity of the individual who actually entered a Vote cannot be resolved to Sponsor’s satisfaction, the affected Vote will be deemed ineligible. The Contest Entities shall not be responsible for incorrect or inaccurate Vote information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error, which may occur in the processing of the Vote in the Contest. The Contest Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of Votes. Incomplete Votes will be disqualified. Proof of sending a Vote is not considered proof of delivery to or receipt by Sponsor of such Vote.
4. WINNER SELECTION AND NOTIFICATION: At the conclusion of the Contest Period, the Grand Prize winning high school will be the one (1) nominated high school that receives the most Votes during the Contest Period. In the event of a tie for the Grand Prize, the Grand Prize winner will be determined via a random drawing between the tied highest Voted high schools. Once selected, the potential Grand Prize winning high school will be notified by phone and/or mail by the Sponsor or its designee. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winning high school for any reason. If, despite reasonable efforts, a potential winning high school does not respond within forty-eight (48) hours of the first notification attempt, the runner up high school with the next highest overall Voting score will become the potential winning high school and will be selected in accordance with the judging criteria noted herein. Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winning high schools in accordance with the above procedure, after which no more potential winners may be contacted at the Sponsor’s sole discretion. An appropriate administrator of the potential Grand Prize winning high school will be required to execute and return an Affidavit of Eligibility, a Liability Release and, unless prohibited by law, a Publicity Release and other related documents required by the Sponsor (the “Winner’s Documents”), within seven (7) business days of initial notification. If any potential participant and/or potential winning high school is found to be ineligible or if he/she/they has/have not complied with these Official Rules; or does not complete and return the Winner’s Documents within the stated time period, such potential winning high school will be disqualified and an alternate winning high school may be selected according to the judging criteria as stated in these Official Rules.
5. PUBLICITY RELEASE: By participating in the Contest, in addition to any other rights which may be granted in any other agreement entered into between Sponsor and any participant in or winning high school of the Contest, each participant (and, in the case of a minor entry, their parent/legal guardian on their behalf) irrevocably grants the Contest Entities and their respective successors, assigns and licensees, the right to use such participant’s name, likeness, biographical information, and Vote in any and all media for any purpose, including without limitation, advertising and promotional purposes as well as in, on or in connection with any website, the Contest or other promotions, and hereby releases the Contest Entities, and their respective successors, assigns and licensees from any liability with respect thereto.
6. GRANT OF RIGHTS: Each participant in the Contest (and, in the case of a minor participant, their parent/legal guardian on their behalf) hereby irrevocably grants to Sponsor, its designees, affiliates, successors and assigns, the non-exclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute, publicly perform, publish, delete or display the Vote and any accompanying comment in any media now known or hereafter devised including, but not limited to all forms of electronic media, print media and all forms of internet and wireless protocol in perpetuity and throughout the universe for advertising, marketing, publicity and promotional purposes in connection with the Contest and other promotions. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Vote for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have therein.
7. PRIZE. One (1) Grand Prize is available in the Contest. Grand Prize consists of a visit by the Nutri-GrainÒ Lounge truck to the winning high school for one (1) day (maximum of 8 hours) to allow the high school’s teachers the opportunity to participate in and enjoy the features of the truck. NOTE: There is no prize in this Contest for the participants that nominate the Grand Prize winning high school. Unclaimed prize will not be awarded. All applicable federal, state, and local taxes on prize are the sole responsibility of the Grand Prize winning high school. There is no Approximate Retail Value associated with this prize.
8. NO OBLIGATION TO USE: Sponsor shall have no obligation (express or implied) to use any Vote, or to otherwise exploit any Vote or, if commenced, to continue the distribution or exploitation thereof, and Sponsor may at any time abandon the use of the any menu concept for any reason, with or without legal justification or excuse, and entrants shall not be entitled to any damages or other relief by reason thereof.
9. GENERAL: No cash equivalents, substitutions or transfer of prize permitted except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize is unavailable. Grand Prize winning high school agrees that the Contest Entities shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from winning high school’s acceptance, receipt, possession and/or use or misuse of any prize. Sponsor assumes no responsibility for any damage to a participant’s or any other person’s computer system which is occasioned by submitting a Vote or otherwise participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, the Contest Entities are not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, or stolen nominations, votes, or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the nomination / Voting process or the operation of the Contest, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event an insufficient number of eligible Votes are received or Sponsor is prevented from awarding prize or continuing with the Contest as contemplated herein by any event beyond its control, Sponsor shall have the right to modify, suspend, or terminate the Contest. If the Contest is terminated for any reason before the designated end date, Sponsor will (if possible) select the potential prize winning high school in accordance with the above-referenced judging criteria from all eligible, non-suspect Votes received as of the date of the event giving rise to the termination using the judging criteria as found in these Official Rules. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with the law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

11. GOVERNING LAW: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF MICHIGAN WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.
